Regulation of the bindCommerce partnership and affiliation program

Starting the partnership relationship and changing the level

The partnership relationship starts with the initiative of one of the two parties, which expresses its interest to the other party. When both parties agree to start the collaboration, the partnership contract is stipulated, the form of which (always written) can also be a simple exchange of emails where the parties express their willingness to collaborate in compliance with these regulations.

A bindCommerce executive will be appointed partner manager and will be the point of reference for the partner on all aspects of the collaboration:

• assignment and modification of the partnership level
• professional and / or commercial evaluation of the partner
• commercial support for the management of leeds interested in bindCommerce services
• management of the presence on the partner directory on the bindCommerce site (for Silver and Gold partners)
• reporting of leeds interested in partner services (for Gold partners)
• any other aspect useful for the optimization of the partnership

Partnership Levels

Below is a description of the partnership levels envisaged.

Entry

This is the entry level of new partners who start a collaboration with bindCommerce: web agencies, IT resellers, eCommerce consultants, companies owning platforms that are integrated with bindCommerce, etc ...

The passage to the next levels is obtainable thanks to commercial and/or professional merits.

Commercial fees: Entry level partners are entitled to a 7% commission on all payments relating to the first 3 months of service provided to a new customer they refer.

Professional Visibility: Professional Visibility is introduced starting at the Silver level.

Silver

To become a Silver partner, at least one of the following requirements must be met:

• (commercial merit) turnover generated in the previous 12 months of at least € 5,000.00 excluding VAT
• (professional merit) certification of Silver Level competencies. The certification of Silver Level skills requires a demonstrated ability and autonomy for the configuration of the integration, pre and post sales, relating to at least 3 platforms (eg an ERP with an eCommerce platform and a marketplace) applied to an account.

Commercial Compensation: Silver level partners are entitled to a 9% commission on all payments relating to the first 6 months of service provided to a new customer they refer.

Professional visibility: Promotion of the partner on the bindCommerce website, in the appropriate dedicated section.

Gold

To become a Gold Partner, at least one of the following requirements must be met:

• (commercial merit) turnover generated in the previous 12 months of at least € 10,000.00 excluding VAT
  (professional merit) Gold Level skills certification. The certification of Gold Level skills requires a demonstrated ability and autonomy for the configuration of the integration, pre and post sales, relating to at least 4 platforms (eg a management software with an eCommerce platform and 2 marketplaces) applied on at least 3 different accounts.

Commercial compensation: Gold level partners are entitled to a commission of 13% on all payments relating to the first 12 months of service provided to a new customer they refer.

Professional visibility: Promotion of the partner on the bindCommerce website, in the appropriate partner section (with evidence of the gold level and greater visibility than the silver level).

Furthermore, the Gold partner may receive, at the discretion of the bindCommerce management, the reporting of potential customers, not only for integration activities, but also for the development of entire eCommerce projects (consultancy, development of eCommerce sites, SEO, SEM, etc.)

Methods for reporting potential customers

The reporting of potential customers can be done in 2 ways

Affiliate link

Every time a surfer reaches the bindCommerce site by clicking on an affiliate link, a recognition cookie is set on the navigator's browser (eg: edge, firefox, safari, google chrome, etc.). The duration of the cookie is 90 days. Thanks to this cookie, every time a purchase order is made on the site by the user in question (possibly even on dates and / or for different products) the affiliate user will receive, from bindCommerce, the commissions provided based on at your partnership level.

The system set up by bindCommerce keeps track of the movements of each user for 90 days, a period in which if the user purchases even without going through the affiliate link again, bindCommerce will recognize the related commission to the affiliated user.

Offline reporting

It is possible to make reports offline by adding the company reported to the appropriate list in the affiliate area. The bindCommerce team will not take any active commercial action against these companies. The insertion has the sole purpose of activating the pre-emption of the partner for the purposes of the affiliate program. The report loses its validity after 90 days. from the date of first entry. To renew a report, you must enter it again.

In case of purchase, the bindCommerce sales team will manually add the conversion made in the affiliate panel.

Affiliate panel

Within the Affiliate Panel it is possible to check the traffic logs, conversions and payments received in real time by the affiliated user; in addition, there are some banners made available by bindCommerce.

Purchases made by the company for an account managed directly for internal use will not be considered for the purposes of the affiliate program.

Payment Methods for Partners

The payment of the partners takes place, at the request of the partner, without fixed dates, within 10 days. from the request (receipt of invoice by bindCommerce).

The affiliate can request payment whenever their balance reaches € 300.00 excluding VAT. The calculation of the commissions takes into consideration the time accrual and the actual payments by the customers.

Duration of collaboration

We hope that the collaboration can be lasting, but in the event that the interest from one of the 2 parties is lost, the partnership contract can be terminated at the simple request of the partner or bindCommerce, without any cost of withdrawal (subject to payment of the fees accrued during the period in which the partnership was still active).

Prohibitions

It is strictly forbidden for the affiliated user to promote, for any reason or motivation, the services on the site through paid advertisements (eg. Google Adv) that use the word cd. search key the name of bindCommerce.

It is absolutely forbidden to promote the services on the Site through fraudulent programming techniques suitable for forcing the natural attribution of cookies to the computer of navigators. In this regard, bindCommerce reminds you that the affiliate user's personalized cookie must be installed naturally with a spontaneous click of the navigator user towards the website link.

Failure to comply with the illustrated prohibitions determines the cancellation of the affiliate user's account by bindCommerce and the consequent complete cancellation of the commissions accrued by them up to that moment towards bindCommerce, without prejudice to the right, of bindCommerce, to assert their rights in the competent judicial offices.

bindCommerce reminds you that it has the right to ask the affiliate user at any time to provide him with any documentation or information aimed at verifying full compliance by the latter with the Affiliate Program, as well as any legislation or conditions general applicable to the Site.

Applicable law and competent court

This Affiliate Program is regulated, although not expressly indicated therein, by the applicable Italian law.

The competent court in the event of a dispute is that of Naples.
